BuildFlow Pro — A proprietary SaaS construction management platform.
BuildFlow Pro is a proprietary product and registered brand. All rights, title, and interest in and to the BuildFlow Pro name, logo, software, source code, algorithms, designs, and associated branding are exclusively owned by BuildFlow Pro and its parent company. Unauthorized use, reproduction, reverse engineering, or imitation of the BuildFlow Pro name, branding, or any related intellectual property is strictly prohibited and may result in legal action.
By accessing or using BuildFlow Pro ("the Platform," "the Service"), you ("User," "you") agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must immediately cease use of the Platform. Your continued use after any updates constitutes acceptance of the revised Terms.
By clicking "I Agree" or creating an account, you represent that you are at least 18 years of age and have the legal authority to enter into this agreement on behalf of yourself or your organization.
BuildFlow Pro provides construction project management tools including, but not limited to: estimates & proposal generation, project tracking, team collaboration, payment processing, client portals, subcontractor management, document management, expense tracking, and integrations with third-party services (Stripe, QuickBooks, email providers).
The Platform is a management tool, not a replacement for professional legal, financial, or construction advice. Users are responsible for ensuring that all estimates, contracts, change orders, and financial records entered into the Platform are accurate, complete, and compliant with applicable laws.
You are responsible for:
BuildFlow Pro is not liable for any loss or damage arising from unauthorized access to your account due to your failure to safeguard your credentials. You agree not to share account access with individuals not authorized by your organization.
You retain ownership of all content you upload to BuildFlow Pro (estimates, photos, documents, contracts, financial data, client information, etc.). By using the Platform, you grant BuildFlow Pro a limited, non-exclusive license to store, process, and display your content solely to provide the Service.
You are solely responsible for:
BuildFlow Pro does not verify the accuracy of user-entered data and is not responsible for errors in estimates, invoices, contracts, or financial calculations caused by incorrect user input.
Stripe Integration: Payment processing is handled by Stripe, Inc. pursuant to the Stripe Services Agreement. BuildFlow Pro facilitates the connection but is not a payment processor. We are not liable for payment processing errors, failed transactions, chargebacks, or disputes between you and your clients. You are responsible for complying with Stripe's terms and PCI DSS requirements.
QuickBooks Integration: Accounting synchronization is facilitated through Intuit QuickBooks APIs. BuildFlow Pro is not responsible for discrepancies, sync failures, duplicate entries, or data loss that may occur during synchronization. You are responsible for verifying all synced financial data in your QuickBooks account. QuickBooks connection credentials are managed through OAuth and stored securely; however, you should regularly verify your connection status.
General: Third-party services operate under their own terms and privacy policies. BuildFlow Pro does not guarantee the availability, accuracy, or reliability of any third-party integration. Changes made by third-party providers to their APIs or services may impact functionality without prior notice from BuildFlow Pro.

Violation of these provisions may result in immediate account termination and legal action.
Paid plans are billed in advance on a recurring basis (monthly or annually). By subscribing, you authorize BuildFlow Pro to charge your designated payment method. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. Refunds are handled on a case-by-case basis at BuildFlow Pro's sole discretion.
BuildFlow Pro reserves the right to modify pricing with 30 days' written notice. Continued use after a price change constitutes acceptance of the new pricing.

Users are solely responsible for verifying all professional credentials, reviewing all documents before sending to clients, and ensuring compliance with local construction codes, regulations, and licensing requirements.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
You agree to indemnify, defend, and hold harmless BuildFlow Pro, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any content you upload or transmit through the Platform; (e) any dispute between you and your clients, subcontractors, or team members.
BuildFlow Pro strives for high availability but does not guarantee uninterrupted service. We may perform scheduled maintenance, emergency repairs, or platform updates that temporarily affect availability. We reserve the right to modify, suspend, or discontinue any feature or service with reasonable notice. Critical functionality changes will be communicated via email or in-app notification.
BuildFlow Pro reserves the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or conduct harmful to other users or the Service. Upon termination, your right to use the Platform ceases immediately. You may request export of your data within 30 days of termination by contacting support.
Any disputes arising from these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the state where BuildFlow Pro maintains its principal place of business. You agree to waive any right to a jury trial or to participate in a class action.
We may update these Terms from time to time. When significant changes are made, we will increment the version number and require re-acceptance before continued use. Minor updates will be communicated through the Platform. It is your responsibility to review the Terms periodically.
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Customer retains ownership of all project data, photos, documents, and materials uploaded to the Platform.
The Platform's AI-powered portfolio generation, portfolio editing tools, portfolio organization features, material analysis tools, and advanced portfolio management features are subscription-based services.
During an active Enterprise subscription (or authorized trial), the Platform may generate portfolio content using Customer-provided project information.
Upon expiration, downgrade, or cancellation of an Enterprise subscription:
The Platform retains ownership of its software, AI systems, portfolio-generation technology, and related intellectual property. Customer retains ownership of all uploaded project content and project photographs.
